1. Scope and parties
These Partner Terms are a binding agreement between Wasla Weddings LLC, trading as “Wasla” (“Wasla”, “we”, “us” or “our”), and the wedding planner, venue, event business, agency or other organization that enters into a commercial or structured partnership with Wasla (“Partner”). The specific commercial arrangement may be set out in an order form, partner schedule, proposal, statement of work or other written document accepted by both parties (“Partner Schedule”). If there is a conflict on commercial details, the Partner Schedule controls those details; these Partner Terms control the general platform and legal relationship unless the Partner Schedule expressly states otherwise.
2. Authority
The person accepting these Partner Terms represents that they are authorized to bind the Partner. If they lack that authority, they must not accept on the Partner’s behalf.
Nothing in these Terms creates a partnership in the legal sense, joint venture, employment, franchise, fiduciary relationship or agency. Neither party may bind the other or make commitments on the other’s behalf unless expressly authorized in writing.
3. Partnership model
The Partner Schedule may provide for referrals, discounted or wholesale wedding licences, bundled Wasla access, co-branded services, organization workspaces or another agreed model. Fees, discounts, minimum commitments, referral payments, payment timing, invoicing and applicable taxes are those stated in the Partner Schedule.
A Partner may not represent that a couple receives a particular Wasla package, feature, price or service level unless that entitlement has actually been purchased, provisioned or expressly committed in writing by Wasla.
4. Accounts and authorized users
The Partner is responsible for identifying its authorized users and for ensuring that they use individual accounts where required. The Partner must promptly remove access for personnel who no longer require it and must notify Wasla of suspected account compromise.
Wasla may require appropriate security measures, multifactor authentication or renewed authentication for sensitive partner functions.
5. Wedding and guest data
Partner access to wedding or guest information is limited to the information and purposes authorized by the relevant couple, the applicable Wasla role, the Partner Schedule and law. The Partner must not use Wasla-derived guest information for independent marketing, cross-client profiling, resale, list building or unrelated events.
Where the Partner downloads or receives personal data outside Wasla, it must apply appropriate security and retention controls and comply with applicable data-protection obligations. If a separate data-processing agreement is required for the relationship, the parties will execute it and it will form part of the contractual framework.
6. Confidentiality
Each party must protect the other’s non-public business, technical, commercial and customer information using at least reasonable care and use it only for the purposes of the relationship. Confidential information excludes information that is lawfully public, already known without confidentiality obligation, independently developed or lawfully received from a third party.
Disclosure is permitted where required by law or competent authority, provided the receiving party gives notice where legally permitted.
7. Branding and marketing
Each party retains ownership of its names, logos, trademarks, templates, content and other intellectual property. Any right to use the other party’s branding is limited, revocable and solely for the approved partnership purpose.
Co-branding, public announcements, case studies, testimonials or use of wedding content in marketing require the approvals stated in the Partner Schedule or separate written permission. The Partner must follow Wasla brand guidance supplied to it.
8. Referrals and sales conduct
If the Partner refers couples to Wasla, it must describe Wasla accurately and avoid deceptive claims. The Partner must not collect payment for Wasla, offer unauthorized discounts, alter Wasla terms, promise refunds, or make warranties on Wasla’s behalf unless expressly authorized in writing.
Any referral fee or commission is earned and payable only under the conditions stated in the Partner Schedule, including any rules for cancellations, refunds, fraudulent transactions or chargebacks.
9. Payments and reconciliation
Where the Partner purchases licences or services from Wasla, payment will be made using the method and timetable stated in the Partner Schedule or invoice. Wasla may support Paymob and InstaPay for eligible transactions. Paymob transactions are treated as paid after successful provider confirmation. InstaPay transfers may require manual verification and may take up to two Business Days after sufficient proof is received. “Business Day” means Sunday through Thursday, excluding official public holidays in Egypt.
If the Partner collects money from its own client as part of the Partner’s independent service, that collection is between the Partner and its client unless Wasla expressly agrees otherwise in writing.
10. Service and support
Wasla will provide the platform and support described in the Partner Schedule and applicable package. The Partner remains responsible for its own wedding-planning, venue, event, catering or other professional services.
Unless expressly agreed in writing, Wasla does not guarantee a particular volume of leads, weddings, revenue, conversion rate, uptime percentage or exclusivity.
11. Content and intellectual property
Wasla owns or licenses the Wasla software, platform, templates, interfaces, branding and documentation. The Partner receives a limited, non-exclusive, non-transferable right to use them during the relationship for the agreed purposes.
The Partner retains rights in its own content and grants Wasla the limited licence required to host and process that content to provide the service. The Partner warrants that it has the rights required for material it uploads.
12. Compliance and acceptable use
Each party must comply with applicable Egyptian law within its own responsibilities. The Partner must not use Wasla for fraud, unlawful marketing, unauthorized surveillance, discrimination prohibited by law, infringement, malware distribution, security circumvention or misuse of personal data.
The Partner must keep accurate business, contact, billing and tax information reasonably required for the commercial relationship.
13. Term and termination
The relationship begins on the date stated in the Partner Schedule or, if none is stated, when the Partner validly accepts these Terms and Wasla activates the partnership. It continues for the agreed term or until terminated in accordance with the Partner Schedule.
Either party may terminate for a material breach that is not remedied within a reasonable cure period after notice, where a cure is possible. A party may suspend or terminate immediately for serious fraud, security abuse, unlawful conduct, insolvency risk materially affecting performance, or where continued performance would violate law.
Termination does not automatically cancel rights already granted to couples under paid wedding orders. Existing wedding access and transition arrangements will be handled according to the Partner Schedule, the relevant customer contract and applicable law.
14. Liability and indemnity
Each party is responsible for its own acts and omissions and for those of personnel acting under its control, to the extent provided by law. The Partner is responsible for claims arising from its independent professional services, unauthorized promises to clients, misuse of guest data or infringement caused by Partner-supplied content.
Neither party excludes liability that cannot legally be excluded. Any contractual limitation of liability in a Partner Schedule applies only to the extent lawful.
15. Records, audit and cooperation
Each party will maintain reasonable records necessary to administer fees, referrals, licences and the contractual relationship. Where a genuine reconciliation or compliance issue arises, the parties will cooperate in good faith and share records reasonably necessary to resolve it, subject to confidentiality and data-protection requirements.
16. Changes and notices
Wasla may update standard Partner Terms prospectively. A material change affecting an existing fixed-term Partner Schedule will apply only as permitted by that Schedule, agreed by the parties or required by law.
Formal notices under the partnership may be sent to the addresses or emails stated in the Partner Schedule. Operational notices may be delivered through the platform or ordinary business channels.
17. Governing law and disputes
These Partner Terms and the Partner Schedule are governed by the laws of the Arab Republic of Egypt. The parties will first attempt good-faith commercial resolution. Any unresolved dispute will be submitted to the competent Egyptian courts unless a signed Partner Schedule lawfully provides another dispute-resolution mechanism.
The Arabic and English versions are intended to express the same agreement. If an inconsistency arises between them, the Arabic version will prevail to the extent permitted by applicable law.
